Depomo Ltd Contributor License Agreement (CLA)

Introduction

Thank you for your interest in contributing to the open-source projects managed by Depomo Ltd (“Depomo”). To clarify the intellectual property license granted with Contributions from any person or entity, Depomo requires a Contributor License Agreement (“CLA”) on file that has been signed by each Contributor, indicating agreement to the license terms below.

This license serves to protect both You and Depomo, ensuring that all contributions can be freely used and distributed within the project while allowing You to retain rights to use Your own contributions for any other purpose. If You have not already done so, please complete and sign this Agreement before making contributions.

1. Definitions

  • "You" refers to the individual or entity submitting contributions to Us.
  • "Entity" means a company, organization, or employer that has authorized one or more individuals to contribute on its behalf.
  • "Contribution" means any original work of authorship, including modifications, patches, bug fixes, and documentation, submitted by You to Us.
  • "Copyright" includes all rights protecting works of authorship, including copyright, moral, and neighboring rights, as appropriate, for the full term of their existence.
  • "Material" refers to the software or documentation made available by Us to third parties, including Chartbrew.
  • "Submit" means the act of transferring a Contribution to Us through tangible or intangible media, such as pull requests, issues, or source code repositories managed by Us.

2. License Grant

2.1 Copyright License to Us

By submitting a Contribution, You grant to Us a worldwide, royalty-free, exclusive, perpetual, and irrevocable (except as stated in Section 5.2) license to:

  • Publish, reproduce, and distribute the Contribution;
  • Modify and prepare derivative works based upon the Contribution;
  • Combine the Contribution with other Materials;
  • Display and publicly perform the Contribution in original or modified form;
  • Transfer or sublicense these rights to third parties.

2.2 Moral Rights

To the extent allowed by law, You waive and agree not to assert any moral rights, including attribution or integrity rights, in Your Contribution.

2.3 Copyright License Back to You

Upon granting rights to Us, We immediately grant You a worldwide, royalty-free, non-exclusive, perpetual, and irrevocable license to use, modify, and distribute Your Contribution, but this does not provide rights to the Material as a whole.

3. Patents

3.1 Patent License

If Your Contribution includes patentable inventions, You grant Us and our licensees a worldwide, royalty-free, non-exclusive, perpetual, and irrevocable license to make, use, sell, offer for sale, and distribute Your Contribution.

3.2 Revocation of Patent License

You reserve the right to revoke the patent license if We initiate a patent infringement claim against Your Contribution, except when done for defensive purposes.

4. No Obligation

  • We are not required to use, include, or maintain Your Contribution.
  • You are not entitled to compensation for Your Contribution.

5. License & Ownership

5.1 License Modification

The Project is currently licensed under MIT License, but We reserve the right to change the license at any time without further approval from contributors.

5.2 Termination

This Agreement remains effective for the term of the copyright and patents licensed here. However, You may terminate this Agreement if We fail to comply with our obligations under Section 5.1. Termination must be in writing.

6. Disclaimer & Liability Waiver

  • The Contribution is provided "as is." All warranties, including implied warranties of merchantability or fitness for a particular purpose, are expressly disclaimed.
  • No liability for damages. To the maximum extent permitted by law, neither You nor We will be liable for any indirect, special, incidental, consequential, or exemplary damages arising out of this Agreement.

7. Governing Law

This Agreement is governed by the laws of Scotland. Any disputes shall be resolved in the courts of Edinburgh, Scotland.

8. Agreement

By submitting a Contribution, You confirm that You have the right to do so and fully agree to the terms of this Contributor License Agreement.
